Software Softer, C.A. of Venezuela changes its corporate name to Bizta R&D Software, C.A., and buys 100% of the shares of Bizta Corporation, a Delaware company incorporated on April 12, 2000, and represented by Alfredo Anzola, a Venezuelan citizen and shareholder and co-founder of Smartmatic.


On December 15, 2003, the Venezuelan government (FONCREI) would acquire 28% of Bizta R&D Software C.A. (owner of Bizta Corporation in Delaware). Bizta R&D Software C.A. in 2003 would develop the Smartmatic Automated Election Systems (SAES) election software for the recall referendum of 2004 in Venezuela.

Bitza Corporation in 2003 would transfer control of the company’s management, as recorded in the minutes of the meetings, to Venezuelan citizen Omar Montilla Castro, legal representative of the Venezuelan government through the state-owned Urban Credit Fund (FONCREI).

These transactions establish control to the Venezuelan government of the company that will develop the Venezuelan government’s automated election software.
